The book analyses the issue of the quotaholding in the limited liability company, a reality of central importance in the Italian economic and entrepreneurial scenario, repeatedly subject to regulatory interventions (most recently, by the so-called Capital Law, Law no. 21 of 5 March 2024).
The authors examine the general principle of free transferability of the quotas, the statutory and conventional limits to the circulation (pre-emption, approval, lock-up, drag along and tag along clauses) and the alternative forms of circulation of the quotas.
The book, which also takes into account the most recent developments in case law and doctrine, also focuses on the special rights granted to the quotaholder of a limited liability company and the events relating to withdrawal, as well as the constraints limiting the availability of the quota. Finally, particular attention is paid to small and medium-sized companies, including innovative ones incorporated as limited liability companies.
